Phase 1: Strategic and Operational Review

We focus on value enhancing strategies and a readiness assessment based on the owners objectives and market conditions. If the decision is to consider a Sale we would initiate the following 3 Phases. If the decision is to Grow through Acquisition, we will discuss your options including our Fractional Acquisition Advisory services.

Phase 2: Initial Pricing Analysis

The initial pricing analysis process is Conducted by an experienced Chartered Business Valuator (CBV). This includes a tax specialist review, after-tax proceeds analysis, determination of sale options, synergy analysis, and an assessment of likely buyers.

Phase 3: Transaction Marketing

Transaction Marketing positions the company and the present opportunity. This includes:

  • Finalize go to market strategy
  • Develop curated buyers list, considering strategic, financial and other alternatives
  • Synergy analysis and likelihood assessment
  • Buyer qualification, solicitation and NDA execution
  • Virtual Data Room (“VDR”) set up
  • Management presentations and on-site meetings

Phase 4: Transaction Execution and Closing

We will plan and execute all aspects of the sales process, including:

  • Letter of Intent (“LOI”) reviews and analysis
  • Qualitative assessment of buyer fit
  • Negotiate price, terms and conditions
  • Finalize LOI
  • Allow for buyer due diligence process through VDR access
